All such guidelines or rules are hereby incorporated by reference into the Terms. Please be aware that QYAO has created certain areas on all its domains or its partner's domains on the Service that contain adult or mature content. You must be at least 18 years of age to access and view such areas. You agree to the terms and conditions outlined in this Terms of Services with respect to this Web site (the "Site"). This Terms of Services constitutes the entire and only agreement between us and you, and supersedes all prior or contemporaneous agreements, representations, warranties and understandings with respect to the Site, the content and computer programs provided by or through the Site, and the subject matter of this Terms of Services. QYAO PRIVACY POLICY Registration Data and certain other information about you are subject to our Privacy Policy. MEMBER CONDUCT You understand that all information, data, text, software, photographs, graphics, messages or other materials (Content), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated. This means that you, and not QYAO, are entirely responsible for all Content that you upload, post, email or otherwise transmit via the Service. QYAO does not control the Content posted via the Service and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using the Service, you may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances will QYAO be liable in any way for any Content, including, but not limited to, for any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed or otherwise transmitted via the Service.
You agree to not use the QYAO Service to: Interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service. "Stalk" or otherwise harass another or collect or store personal data about other users. Upload, post, email or otherwise transmit any Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable or harm minors in any way. Impersonate any person or entity, including, but not limited to, a QYAO official, forum leader, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or entity. Upload, post, email or otherwise transmit any Content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements). Upload, post, email or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment. Disrupt the normal flow of dialogue, cause a screen to "scroll" faster than other users of the Service are able to type, or otherwise act in a manner that negatively affects other users' ability to engage in real time exchanges. You acknowledge that QYAO does not pre-screen Content, but that QYAO and its designees shall have the right (but not the obligation) in their sole discretion to refuse or move any Content that is available via the Service. Without limiting the foregoing, QYAO and its designees shall have the right to remove any Content that violates the Terms or is otherwise objectionable. VISITORS COMMUNICATIONS Except where expressly provided otherwise by us, all comments, feedback, information, or materials that you submit through or in association with the Site shall be considered non-confidential. MISCELLANEOUS These Terms apply to Qyao.com's provision of Matched Ads to you through the Qyao.com Publisher Network Program. Any other Qyao.com products or services will be governed by the different terms of service applicable to such specific products or services, including any existing contract between you and Qyao.com. Qyao.com reserves the right to refuse to provide services to anyone, for any reason or no reason, in Qyao.com's sole discretion. Any dispute or claim between you and Qyao.com or their affiliates and subsidiaries will be adjudicated in the state or federal courts in Wilmington, Delaware. Any claim against Qyao.com arising from the Agreement shall be adjudicated on an individual basis, and shall not be consolidated in any proceeding with any claim or controversy of any other party.
You agree to file any claim or cause of action against Qyao.com within one (1) month of the date that the claim or cause of action arises. You may not assign, resell, or delegate this Agreement or any of your rights or duties under this Agreement, even if you sell or transfer Your Site and/or Your Xml Feed(s). Any attempted assignment, resale or delegation will be void. Qyao.com may assign this Agreement or delegate its responsibilities without your consent. Upon assignment, Qyao.com will have no further obligation or liability under this Agreement. Qyao.com may change any or all aspects of Qyao.com's products, services or marketplaces, including the Program, at any time and without notice. Nothing in this Agreement will constrain how Qyao.com operates their businesses. The Site can be accessed from different locations around the world and may contain references to QYAO services, and programs that have not been announced where you are located. These references do not imply that QYAO intends to announce such products, services or programs where you are located. This Agreement shall be treated as though it were executed and performed in New York, New York, and shall be governed by and construed in accordance with the laws of the United States of America and of the State of New York (without regard to conflict of law principles). Any cause of action by you with respect to the Site (and/or information, documents and other materials contained therein) must be instituted within one (1) year after the cause of action arose or be forever waived and barred. All actions shall be subject to the limitations set forth under "Disclaimer" above. The language in this Agreement shall be interpreted as to its fair meaning and not strictly for or against you or us. You expressly submit to the exclusive personal jurisdiction and venue of the Superior Court of New York and the United States District Court for the Central District of New York with respect to all matters relating to this Agreement or your use of the Site, and consent to extra-territorial service of process in connection therewith. GENERAL PRACTICES REGARDING USE AND STORAGE You acknowledge that QYAO may establish general practices and limits concerning use of the Service, including without limitation the maximum number of days that email messages, message board postings or other uploaded Content will be retained by the Service. You agree that QYAO has no responsibility or liability for the deletion or failure to store any messages and other communications or other Content maintained or transmitted by the Service. You acknowledge that QYAO reserves the right to log off accounts that are inactive for an extended period of time. You further acknowledge that QYAO reserves the right to change these general practices and limits at any time, in its sole discretion, with or without notice. MODIFICATIONS TO SERVICE QYAO reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that QYAO shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service. TERMINATION You agree that QYAO, in its sole discretion, may terminate your password, account (or any part thereof) or use of the Service, and remove and discard any Content within the Service, for any reason, including, without limitation, for lack of use or if QYAO believes that you have violated or acted inconsistently with the letter or spirit of the Terms. QYAO may also in its sole discretion and at any time discontinue providing the Service, or any part thereof, with or without notice. You agree that any termination of your access to the Service under any provision of this Terms may be effected without prior notice, and acknowledge and agree that QYAO may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the Service. Further, you agree that QYAO shall not be liable to you or any third-party for any termination of your access to the Service or any losses this might cause. QYAO'S PROPRIETARY RIGHTS You acknowledge and agree that the Service and any necessary software used in connection with the Service (Software) contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that Content contained in sponsor advertisements or information presented to you through the Service or advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by QYAO or advertisers, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Software, in whole or in part. QYAO grants you a personal, non-transferable and non-exclusive right and license to use the object code of its Software on a single computer provided that you do not (and do not allow any third party to) copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Software. You agree not to modify the Software in any manner or form, or to use modified versions of the Software, including (without limitation) for the purpose of obtaining unauthorized access to the Service. You agree not to access the Service by any means other than through the interface that is provided by QYAO for use in accessing the Service. NOTICES The Service may also provide notices of changes to the Terms or other matters by displaying notices or links to notices to you generally on the Service. TRADEMARK INFORMATION QYAO, the QYAO logo, QYAO in other Characters, and other QYAO logos and product and service names are trademarks of QYAO, LLC (the QYAO Marks). Without QYAO's prior permission, you agree not to display or use in any manner, the QYAO Marks. COPYRIGHTS QYAO respects the intellectual property of others, and we ask our users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide QYAO's Team the following information: an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest a description of the copyrighted work that you claim has been infringed, a description of where the material that you claim is infringing is located on the site, your address, telephone number, and email address, a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law, a statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf. QYAO is not responsible for actions of third party sites, partners and/or units and their lack of payment. You agree that QYAO, in its sole discretion, may or may not cover such losses with compensation through Services. You agree by entering into this agreement that all your funds and earnings at QYAO and third parties might be subject to review and adjustments. You also agree that all your funds might be lost forever and you won't hold QYAO liable for any losses. LIMITED RIGHT TO USE The viewing, printing or downloading of any content, video, audio, graphic, form or document from the Site grants you only a revocable, nonexclusive license for use solely by you for personal, noncommercial purposes limited to the use as is reasonably required to view and listen to the content and navigate through the pages and links generally available to the public using a standard Internet browser and standard media player, and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works or other use. No part of any content, graphic, form or document may be reproduced in any form or incorporated into any information retrieval system, electronic or mechanical, other than for your personal, noncommercial use (but not for resale or redistribution). EDITING, DELETING AND MODIFICATION We reserve the right in our sole discretion to change, edit or delete any documents, information or other content appearing on the Site. INDEMNIFICATION You agree to indemnify, defend and hold QYAO and their respective directors, officers, shareholders, employees, agents, attorneys, merchants, and affiliates (collectively, "Our Affiliated Parties") harmless from any liability, loss, claim or expense, including reasonable attorneys' fees, related to your use of the Site or violation of this Agreement. NONTRANSFERABLE Your right to use the Site is not transferable. Any password or right given to you to obtain information or documents from the Site is not transferable.
CONTACT US GENERAL INFORMATION The Terms constitute the entire agreement between you and QYAO and govern your use of the Service, superseding any prior agreements between you and QYAO. You also may be subject to additional terms and conditions that may apply when you use affiliate services, third-party content or third-party software. The Terms and the relationship between you and QYAO shall be governed by the laws of the State of New York without regard to its conflict of law provisions. You and QYAO agree to submit to the personal and exclusive jurisdiction of the courts located within the city of New York, New York. The failure of QYAO to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. If any provision of the Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred. RESPONSIBILITY OF MEMBERS
Everyone who sign's with us as a partner must follow the rules: Visitors must come through the Search Box or through result page (xml feed). No incentive searches or clicks are allowed. Incentive clicks are cause for immediate termination. All foreign traffic from partner's to US advertisers will be ignored. If partner send's to much foreign traffic we'll terminate partners account. Foreign traffic from the following countries to US advertisers will be ignored: Any Member from above mentioned countries enters any business relationship through QYAO as an online tool for earnings exclusively and only on his/her own responsibility and risk. Members from above listed Countries enters any relationship with QYAO at theirs own risk. Any investment invested in QYAO Advertisers may or may not be returned, QYAO don't accept any risk for Members from above listed Countries. Most of Advertisers exclude above listed Countries and if they approve exceptions that don't mean they won't terminate the account or ignore payment once they notice later from where they are getting traffic and visits. If you have your data base of members and want them to participate in our program, you can only invite them as direct members, your referrals. Do not send them to your site as visitors, because this will cause automatic activation of filters which will disable normal activities of your account. QYAO reserves the rights to withhold any and all payouts for Members from above listed countries and strongly advise Members from above listed Countries not to make any bigger investments. Every Investment done on their own risk, nether QYAO nor will any of Advertisers check incoming investments. Member must know if his/her residence is in one of this Country it's greater risk for his/her funds. All Investments and upgrades are final and irreversible. Advertisers / Units QYAO guaranty only for supervised units/advertisers and in case of non payment cover loses and deposit them only into Member's advertising account (AA). Member's investments are in case of losses reimbursed back to Member's advertising account (AA) only in the amount they were transferred as investment to Unit/Advertiser. QYAO under no circumstances guarantee to pay out any cash, check or use any other payment tool. Members entering this Business Social Network agree that they won't hold QYAO liable for any loses and they know QYAO is just a tool for Members to earn with different options. Members get paid from Advertisers/Units and not from QYAO. Active Advertising Account Every Member either Elite or regular is entitled to earn with Active Advertising Account. Regular Member might get at signup $15.00 signup bonus which will grow automatic if the Invest link is activated. Only Elite Members can run Invest program. Advertising Account Funds are for Investment, transfer to other Member's AA and intern use in QYAO. Funds deposited in AA can not be withdrawn direct to Bank Account, Paypal or any other payment processor. Once deposited must be used for one of above listed purposes. Can be sold or donated, used for credit line and payment of some services listed in Terms. Advertisers and Units can exchange your AA funds for Money through their campaigns. Investments with Units are most appropriate and most profitable way to do it. As soon as you signup as a Member you already have enough funds for $300.00 credit line use with units. Consult Advertisers where and how best to invest. Ask for risks, benefits and returns. QYAO guarantee for your funds in AA and as long as you invest with supervised Units and/or Advertisers you will always get reimbursed lost amount back in AA. Investment Loan Loan program is effective with November 1st, 2008. Every Member who applies for a Loan must be Elite with expiration longer than 4 months. Loan can be requested in amounts from $1,000.00 - $30,000.00. Loan is interest free for first 3 months, after that is 1% per month of the total amount remaining. Loan can be used for Investments with Partners in QYAO's network. Each Investor's dollar gets 20 dollars credit line. Supervised Units Owner of Supervised Unit is obligated to pay 6% of monthly used credit line. Pay out requests requested direct from QYAO instead of Unit owner must be paid in Net 45 to Net 90 to QYAO. Unit Owner can apply for payment plan of 12, 24, 36, 54, 60, 120 and 240 months. Member's Payouts Member active at supervised units can request payout when minimum amount is reached. Requested amount is paid on Net 15 - Net 90 depending on Units Terms. Payouts can be done with check, Paypal and other payment tools. QYAO guarantee in worse case scenario reimbursement of Members funds (if lost or payment is not processed) into Members AA. Members can requests funds at supervised units at any time and any amount into AA; payment request to bank account, Paypal or any other payment tool can be discus only with unit owner. Members active at unsupervised units are risking not being paid and they can't request funds to AA from unsupervised units. Members visiting unsupervised units can only hope in good faith maybe knowing the unit owner that they will get paid. Account Termination Notice (Explanation)
When Member breaks the rules, he/she might receive message from QYAO and his/her account might be terminated. You can see bellow reasons why account might be terminated. Disputes for already used Services Member has the right to file a dispute during the use of services if QYAO doesn't agree on reimbursement, after services are used or if QYAO did reimbursement Member agree he/she won't file a dispute against QYAO and/or its Processors and if the dispute up to $100.00 is filed by mistake or on purposes Member agree to cover penalty of $6,000.00, all losses and legal fees. Criminal charges for fraud might be filled. For disputes over $100.00 Member will be charged with $10,000.00 Penalty, losses, legal and all other fees. Criminal charges for fraud will be filled. Every Member who set up any advertising option (PPC Promo, Banner Promo, Paid Messages, Shared PPC, etc.) is obligated to pay Members and
unconditionally agrees to these Terms and Conditions. Advertiser who is not able to pay immediately might get offer from QYAO for Payment plan. QYAO is not liable or obligated to offer a payment plan, offer might be a curtsey of QYAO but it's not a must. Defamation Lawsuit
QYAO will file a defamation lawsuit for compensatory and punitive damages. All who had allegedly undertaken defamatory attacks against QYAO. Domestic attacks will be filed first and than follow International attacks. Every QYAO Member agrees signing at QYAO with consequences which will follow slandering, spreading lies and confusion. Threats and attacks on other Members and/or QYAO, QYAO's Associates, Contractors and other people and companies connected to QYAO will be reported to authorities and criminal charges will be filed. Violators will be also responsible for all legal expenses, losses and all other harm. What is defamation? By definition, defamation is any statement that injures a third party's reputation, regardless of whether the statement was written or oral. Further, defamation causes someone to be ridiculed, embarrassed, lose employment and be lowered in the opinion of the community. Code mustn't be changed in any way or used for illegal or immoral purposes. Everyone who Purchase portal unit can pay $3,300.00 in it in 36 monthly rates of $100.00. Members with paid Elite Membership of 1 year or longer can get portal unit for $2,900.00 and can pay it off in 36 monthly rates of $87.00. No setup fee in both cases. Advertising Funds
Funds in Advertising Account are exclusively just for Advertising Campaigns! Member Advertiser can use AA funds for different Advertising Campaigns; PPC Promo and Banner Promo offer for deposit of AA funds in any of these two accounts 20 times bigger credit line. Advertiser has a chance to use whole credit line and pay Members when credit line is used.
Advertising Account Funds enables Member's PPC Promo, Banner Promo and/or Paid Messages to get a credit line for just 5% down payment. Advertising Account Funds are only 5% Member already paid and with this 5% transferred to PPC Promo, Banner Promo and/or Paid Messages Member gets 100% credit line which he/she is obligated to pay out to the Members once credit line is used. Every Member - Advertiser creating PPC Promo, Banner Promo and/or Paid Messages campaigns obligates him/herself to these Terms and Conditions and accept the fact that after credit line is used, he/she will pay Members - Publishers what they earned. Investment is done in Member's own courtesy, own risk and free will. When Member invests with certain units he/she risks losing a partial or whole profit and partial or whole AA funds. Member - Investor has option to request funds back to AA from Advertisers which he/she don't want to deal with and withdraw funds from Advertisers which seems to be reliable and trustworthy. Members - coworkers
Members who are QYAO coworkers have no excuse to claim they are not familiar with the rules and regulations. If Advertiser who is/was QYAO coworker advertises his/her business, he/she must payoff Members for traffic or consults QYAO for payment plan. Delivering Traffic
Members can deliver traffic in many ways through QYAO network. Member can click and do the impressions through his/her Profile page and/or Promo PPC, use Promo PPC link and Link Exchange link to place them in Directories, Search Engines and other sites where they get traffic from other visitors and traffic is still credited to them. Sales Reps Sales Rep keeps his/her position as long as he/she has at least two sales per month. Sales Rep can also keep the position in first 2 months without sales but they should recruit at least 10 referrals (not fake or multiply accounts) per week or 2 Elite referrals per week.
